Vijay Textiles - Outcome of AGM

Vijay Textiles Ltd has informed BSE that the members at the 19th Annual General Meeting (AGM) of the Company held on September 24, 2009, inter alia, have approved the following:

1. Adoption of Balance Sheet as at 3l March, 2009, and Profit & Loss Account for the year ended 3Vt March, 2009 along with Directors' Report and Auditors' Report.

2. Declaration of Dividend at 10% on the equity shares of the Company for the year ended March 31, 2009.

3. Re-appointment of Shri. K. Bhupal Reddy as Director of the Company, who retires by rotation.

4. Re-appointment of M/s. Laxminiwas & Jain, Chartered Accountants, Hyderabad as Auditors of the Company to hold office from the conclusion of this Annual General Meeting until the conclusion of the next Annual General Meeting of the Company and authorizing the Board of Directors to fix their remuneration.

5. Re-appointment of Shri. Vijay Kumar Gupta, as Chairman and Managing Director of the Company for the period of five years, from April 01, 2009 to March 31, 2014.
