Vinay Cements - Outcome of AGM

Vinay Cements Ltd has informed BSE that the members at the 23rd Annual General Meeting (AGM) of the Company held on September 29, 2009, inter alia, have accorded to the following:

1. Adoption of the Balance Sheet as at March 31, 2009, the Profit & Loss Account for the year ended on that date alongwith the schedules and notes appended thereto together with the report of the auditors M/s. Deloitte Haskins & Sells and the Report of the Board of Directors for the year ended March 31, 2009.

2. Re-appointment of Dr. Bidhu Bhushan Dutta, as a Director of the Company whose period of office shall be liable to be determined by retirement of directors by rotation.

3. Appointment of M/s. Deloitte Haskins & Sells, Chartered Accountants, Kolkata as statutory auditors of the Company to hold office from the date of this meeting till the conclusion of the next Annual General Meeting of the Company on remuneration, terms & conditions.

4. Appointment of Shri. Binod Kumar Bawri as a Chairman cum Managing Director of the Company for a period from April 01, 2008 to March 31, 2009, on remuneration, terms & conditions.
