Jaybharat Textiles - Result of Postal Ballot

Jaybharat Textiles and Real Estate Ltd has informed BSE that the members of the Company, by way of Postal Ballot, have passed the following Special Resolutions, with requisite majority :

1. Special Resolution U/s. 293 (1)(a) of the Companies Act, 1956, for mortgaging and/or charging all or any of the immovable or movable properties of the Company for obtaining loans or advances including issue of Debentures or any other instruments aggregating to Rs. 8000 crore (including the existing amount of charges! mortgages already created ) from any financial institutions/banks/ insurance Companies.

2. Special Resolution U/s. 372 A of the Companies Act, 1956, to make Loan(s) give Guarantee(s), provide security(ies) and make investments in Securities of various Bodies Corporate of a sum not exceeding Rs. 6000 Crores (Rupees Six Thousand Crore only) by way of subscription and/ or purchase of securities at par or at such premiums (including the existing amount of the loans granted, guarantee(s) given/ securities provided investment(s) made) on such terms as may be decided by the Board of Directors.
