Surat Textile Mills Ltd has informed BSE that pursuant to Section l92A of the Companies Act, 1956 read with the Companies (Passing of the Resolution by Postal Ballot) Rules, 2001, the Company is seeking the approval of the Members of the Company by Special
Resolutions for the purpose of

i. Alteration in Clause II of Memorandum of Association of the Company, by substituting the words in the State of Gujarat in place of in the province of Bombay.

ii. Alteration of the Objects as contained in Clause III of the Memorandum of Association of the Company pursuant to the provisions of Section 17 of the Companies Act, 1956 and

iii. Adoption of a new set of Articles of Association of the Company pursuant to the provisions of Section 31 of the Companies Act, 1956.

The Board of Directors of the Company at their Meeting held on October 27, 2009 have approved the aforesaid proposal and the calendar of events for the said purpose.
