Motilal Oswal Investment Advisors Pvt Ltd ("Manager to the Offer") on behalf of Chettinad Cement Corporation Ltd (Acquirer), has informed this Detailed Public Statement (DPS) to the Public Shareholders of the Anjani Portland Cement Ltd ("Target Company"), in compliance with Regulation 13(4) and other applicable provisions of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 and subsequent amendments thereto (SEBI (SAST) Regulations), pursuant to the Public Announcement (PA) filed on March 12, 2014 with the BSE Limited (BSE) and sent to the Target Company on March 13, 2014 in terms of Regulation 3(1) and 4 of the SEBI (SAST) Regulations. The PA was filed with the Securities and Exchange Board of India (SEBI) on March 13, 2014.<br/><br/>The Offer:<br/><br/>The Acquirer is making an Open Offer to acquire up to a maximum of 47,81,296 (Forty Seven Lacs Eighty One Thousand Two Hundred and Ninety Six) Shares, the Offer Shares, representing in aggregate 26.00% of the Share Capital (Offer Size) of the Target Company at a price of Rs. 61.75/- (Rupees Sixty One and Seventy Five Paise) per Share, payable in cash (Offer Price), in accordance with the provisions of the SEBI (SAST) Regulations and subject to the terms and conditions set out in this DPS and the letter of offer that is proposed to be circulated to the Public Shareholders in accordance with the provisions of the SEBI (SAST) Regulations.<br/><br/>Tentative Schedule of Activity:<br/><br/>Indentified Date - April 25, 2014<br/><br/>Date of commencement of the tendering period (Offer Opening Date) - May 12, 2014<br/><br/>Date of closure of the tendering period (Offer Closing Date) - May 26, 2014
