Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015, we wish to inform you that the Company has entered into a Share Purchase and Shareholders Agreement with EVERFIN HOLDINGS, shareholder of Hinduja Leyland Finance Limited (HLFL), for acquisition of 2,04,92,676 shares of Rs.10/- each constituting 4.68% in the paid-up share capital of HLFL at a price of Rs.110/- per share. Consequent to the above, the Company's shareholding in HLFL will increase from 57.22% to 61.90%.<BR> <BR> The details required under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 are given as an annexure. <BR> <BR> We request you to kindly take the above information on record.<BR>
