| Ambit Corporate Finance Pvt Ltd ("Manager to the Buy back Offer") on behalf of Bayer CropScience Ltd ("Target Company") has informed this Post Buyback Public Announcement for the attention of Equity Shareholders / Beneficial Owners of the equity shares of the Target Company, in compliance with Regulation 19(7) of the Securities and Exchange Board of India (Buy Back of Securities) Regulations, 1998 and subsequent amendments thereof (the Buyback Regulations). This Post Buyback Public Announcement should be read in conjunction with the Public Announcement dated September 18, 2013 (the Public Announcement), and the Letter of Offer dated October 23, 2013 (the Letter of Offer). <br/><br/>The terms used but not defined in this Post Buyback Public Announcement shall have the same meanings as assigned in the Public Announcement and the Letter of Offer.<br/><br/>The Buy back :<br/><br/>The Target Company had announced the Buyback of not exceeding 28,79,746 fully paid-up equity shares of face value of Rs 10 each ("Equity Shares") from all the existing shareholders / beneficial owners of Equity Shares as on the record date (i.e. October 8, 2013), on a proportionate basis, through the "Tender Offer" route at a price of Rs 1,580 per Equity Share payable in cash for an aggregate amount of Rs. 454,99,98,680 (Buyback Offer Size). The Buyback Offer Size is 23.6% of the fully paid-up Equity Share capital and free reserves as per the audited accounts of the Company for the financial year ended March 31, 2013.<br/><br/>The Buyback Offer opened on November 6, 2013 and closed on November 20, 2013.<br/><br/>Details of Buy back:<br/><br/>The total number of Equity Shares bought back under the Buyback Offer is 28,79,746 Equity Shares at a price of Rs. 1,580 per Equity Share.<br/><br/>The total amount utilized in the Buyback of Equity Shares is Rs. 454,99,98,680 (Rupees Four Hundred Fifty Four Crores Ninety Nine Lacs Ninety Eight Thousand Six Hundred and Eighty only). | |
