Pursuant to SEBI Circular No. CFD/DIL3/CIR/2017/2, we are enclosing herewith the Scheme of Arrangement between Bharti Airtel Limited ('Transferee Company') and Tikona Digital Networks Private Limited, a wholly owned subsidiary ('Transferor Company') and its Shareholders and Creditors.<BR> <BR> As the Transferor Company is a wholly owned subsidiary, the Company is not required to comply with the requirements laid under Circular No. CFD/DIL3/CIR/2017/2 dated March 10, 2017.<BR> <BR> We request you to take the above information on record.<BR>
