BS Ltd has informed BSE that the Board of Directors of the Company at its meeting held on May 30, 2014, inter alia, transacted the following:<br/><br/>1. Recommended the Final Dividend @10% (i.e. Rs 0.10/- Per Share of Face Value of Re 1/- each) for the Financial Year ended March 31, 2014.<br/><br/>2. Approved and adopted Code for Independent Directors.<br/><br/>3. Renamed the Share Transfer / Investors' Grievance Committee as Stakeholders Relationship Committee and revised its scope in line with the provisions of the Companies Act, 2013 and SEBI Circular dated April 17, 2014.<br/><br/>4. Renamed the Remuneration and Compensation Committee as Nomination and Remuneration Committee and revision of its scope in Line with Companies Act, 2013 and SEBI Circular dated April 17, 2014.<br/><br/>5. Approved Revision in terms of reference of the Audit Committee in terms of Section 177 of the Companies Act, 2013 and SEBI Circular dated April 17, 2014.<br/><br/>6. Constituted the Corporate Social Responsibility Committee in terms of Section 135 of the Companies Act, 2013 and Rules framed there under.<br/><br/>7. Appointed Mr. Y Koteswara Rao, Practicing Company Secretary, as the Secretarial Auditor of the Company for the Financial Year 2014-15.<br/><br/>8. Re-appointed M/s Srinivas and Co , Cost Accountants, as Cost Auditors for the FY 2014-15.<br/><br/>9. Designated Mr. Rajesh Agarwal, Managing Director, and Ms Alka Kumari, Company Secretary, as the Key Managerial Personnel in terms of Section 203 of the Companies Act, 2013.<br/><br/>10. Approved and Adopted Vigil Mechanism/ Whistle Blower Policy in accordance with Section 177 and SEBI Circular dated April 17. 2014.<br/><br/>11. Accepted the Resignation of Mr. Rakesh Agarwal, Jt Managing Director, and Mr. Mukesh Agarwal, Whole Time Director, from the Directorships of the Company and Committees thereof with immediate effect.
