Cantabil Retail India Ltd has informed BSE that the Board of Directors of the Company at its meeting held on August 14, 2014, inter alia, has considered and approved:<br/><br/>1. Resignation of Mr. Brij Mohan Aggarwal, Independent Director w.e.f. August 14, 2014;<br/><br/>2. On recommendation of Audit Committee, appointment of Mr. Ankur Goyal, Chartered Accountant as Internal Auditor of the Company for the FY 2014-15.<br/><br/>3. Re-appointment of Mr. Lalit Kumar and Dr. Arun Kumar Roopanwal as Independent Directors on the Board of the Company to hold office for a further continuous period of 5 years subject to the approval of the shareholders in general meeting.<br/><br/>4. Appointment of Mrs. Renu Jagdish as Independent Director of the Company to hold office for a further continuous period of 5 years subject to the approval of the shareholders in general meeting.<br/><br/>5. Reappointment of Mr. Deepak Bansal as Whole Time Director of the Company for a period of five years effective from October 01, 2014.<br/><br/>6. Appointment of Mr. Sanjay Grover, Practising Company Secretary as scrutinizer for e-voting facility.<br/><br/>7. Appointment of Mr. Sanjay Grover, Practising Company Secretary as Secretarial Auditor of the Company for the FY 2014-15.<br/><br/>8. Shifting of registered office of the Company from B-47, 1st Floor, Lawrence Road, Industrial Area to B-16, Ground Floor, Lawrence Road, Industrial Area, Delhi - 110 035.<br/><br/>9. The Board of Directors has changed the nomenclature of Shareholders Investor Grievance Committee to Stakeholders Relationship Committee and Remuneration Committee to Nomination and Remuneration Committee pursuant to the provisions of the Companies Act, 2013.
