DCW Ltd has informed BSE that the Board of Directors of the Company at its meeting held on July 24, 2015, have approved issue of following securities on preferential basis to Promoters and Business Associates (including relatives of Business Associates) at a price which will not be less than the price to be arrived as per the provisions of Chapter VII of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations 2009. This Preferential Issue will be subject to the approval of the shareholders which will be sought in the forth coming Annual General Meeting to be held on August 27, 2015.<BR><BR>1. Issue of upto 75,00,000/- equity shares of Rs. 2 each to Promoters and Business Associates (including the relatives of Business Associates).<BR><BR>2. Issue of upto 32,00,000/- convertible warrants to Promoters which are to be converted within a period of 18 months.
