| Dhanada Corporation Ltd has informed BSE that the Board of Directors of the Company at its meeting held on November 21, 2014, as under:<br/><br/>1. The Board recommended to appoint Mr. Mukund Achyut Kulkarni as a Non - Executive Independent Director of the Company pursuant to the provisions of Sections 149, 152 of the Companies Act, 2013 and rules made there under read with Schedule IV and Clause 49 of the Listing Agreement.<br/><br/>2. The Board decided to convene the Extra - ordinary General Meeting of the Company on December 16, 2014 to consider (i) the appointment of Mr. Mukund Achyut Kulkarni and (ii) special resolution for giving authority to the Board of Directors for making investment, giving loan, giving guarantee or providing security in connection with loan to subsidiary companies and / or any other person or body corporate in excess of the limits prescribed under Section 186 of the Companies Act, 2013 read with Rules made there under and pursuant to Section 188 and 2(76) of the Companies Act, 2013 read with Rules made there under and Clause 49(VII) of the Listing Agreement and approved the draft of notice to be issued to the members of the Company for the said meeting. | |
