| eClerx Services Ltd has informed BSE that the Board of Directors of the Company at its meeting held on May 20, 2016, inter alia, has :<BR><BR>1. Recommended the Dividend of Re. 1.00/- (Rupee One Only) per equity share of Rs. 10/- each for the year 2015-16. The dividend, if approved by shareholders at the ensuing Annual General Meeting, will be paid on/after July 18, 2016.<BR><BR>2. Resolved to seek shareholders approval, for appointment of a Director in place of Anjan Malik, who retires by rotation and being eligible, offers himself for re-appointment.<BR><BR>3. Resolved to seek shareholders' approval, at the ensuing AGM, for ratification of appointment of M/s. S.R.Batliboi & Associates LLP, Chartered Accountants, Mumbai as Statutory Auditors of the Company,<BR><BR>4. Resolved to convene the Sixteenth Annual General Meeting of the Company, on July 13, 2016, and approved the AGM notice and related documents.<BR><BR>In addition to this the Nomination and Remuneration Committee of the Company granted 324,162 options to the employees of the Company under ESOP 2015 Scheme / Plan at an exercise price of Rs. 1379.15/- per option. | |
