Pursuant to Regulation 30 and all other applicable Regulations of SEBI (Listing Obligations and Disclosure Requirements) Regulation, 2015, we would like to inform you that the Board of Directors of the Company has decided to dispose of shares in Non-Operating Wholly Owned Subsidiary Company (Immaterial Subsidiary) having no business, revenue and assets Naidunia Media Limited ('NML') bearing Corporate Identification Number U02212MP1996PLC010689 having Registered Office of the Company situated at 4th & 5th Floor, Vikram Urbane, Plot No.25 - A Scheme No. 54, Vijay Nagar Indore M.P.- 452010, to the erstwhile promoters of the NML Mr. Vinay Chhajlani from whom the shares was acquired in the year 2012. Subsequent to the disposal of shares of NML, NML shall ceased to be the Subsidiary of the Company. Further, pursuant to the requirement of the SEBI circular CIR/CFD/CMD/4/2015 dated 9th September, 2015 disclosure is attached as Annexure. <BR> <BR> You are requested to take note of the same.<BR> <BR>
