Just Dial Ltd has informed BSE that the Board of Directors of the Company at its meeting held on January 27, 2016, inter alia, has transacted the following businesses:<BR><BR>1. Considered and approved the allotment of 15,106 Equity Shares of face value of Rs.10/- each to certain employees of the Company pursuant to exercise by such employees of vested options granted to them under the Employee Stock Option Scheme, 2010, Employee Stock Option Scheme, 2013 and Employee Stock Option Scheme, 2014.<BR><BR>2. Considered and decided to take the matter of amendment of the institution of a new Employee Stock Option Scheme at later stage.<BR><BR>3. Considered and decided to take the matter of amendment of the Objects Clause of the Memorandum of Association of the Company at later stage.<BR><BR>4.Considered and decided to appoint Mr. Rampura Venkatachar Raman, Chief Technology Officer of the Company.
