| With reference to the earlier letters dated May 21, 2014 and December 30, 2014 in connection with the Scheme of Amalgamation between the Company and Texmaco Rail & Engineering Limited ("Texmaco") and their respective shareholders and creditors ("Scheme"), Kalindee Rail Nirman (Engineers) Ltd has now informed BSE that the Honble High Court of Calcutta has sanctioned the Scheme vide its judgement pronounced on February 26, 2016. The drawn-up order of the Honble High Court of Calcutta was received by Texmaco on April 11, 2016. Subsequently the Honble High Court at Delhi has sanctioned the Scheme vide its judgement pronounced on December 19, 2016. The order of the Honble High Court at Delhi has been uploaded on its website earlier today. The Company is yet to receive the drawn-up order of the Honble High Court of Delhi.<BR><BR>The Company and Texmaco will make the Scheme effective in accordance with its provisions, read with the orders of the Honble High Court of Calcutta and the Honble High Court of Delhi, and applicable regulations, including the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and the SEBI Circular dated November 30, 2015. | |
