Sub.: Petition filed with National Company Law Tribunal, Mumbai Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, (the Regulations), this is to inform you that: 1. Kirloskar Industries Limited ('Company'), jointly with other shareholders of Kirloskar Brothers Limited ('KBL') who also form a part of the promoter and promoter group of the Company, has filed a petition before the National Company Law Tribunal, Mumbai Bench under Sections 241 and 242 read with Section 244 of the Companies Act, 2013, against KBL and others, for seeking certain reliefs in relation to the acts of oppression and mismanagement in the affairs of KBL. 2. There are no expected financial implications on the Company due to any compensation, penalty, etc., that may arise as a result of the said petition. 3. Quantum of claims: Nil You are requested to take the same on your record.
