| ICICI Securities Ltd ("Manager to the Open Offer") on behalf of the Zuari Fertilisers and Chemicals Limited (acquirer) together with Zuari Agro Chemicals Limited ("Perosns Acting in Concert" or PACs) has informed this detailed public statement (DPS) to the Public Shareholders of Mangalore Chemicals & Fertilizers Limited (Target company) in compliance with Regulation 13(4) read with Regulation 15(2) of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 and subsequent amendments thereto (SEBI Takeover Regulations), pursuant to the public announcement dated December 4, 2014 (PA) filed with BSE Limited (BSE), the National Stock Exchange of India Limited (NSE) and the Bangalore Stock Exchange Limited (Bangalore SE, and together with NSE and BSE referred to as Stock Exchanges), in compliance with Regulation 6, Regulation 13(3), Regulation 15(1) and other applicable regulations of the SEBI Takeover Regulations. The PA was also filed with the Securities and Exchange Board of India (SEBI) and sent to the Target Company on December 05, 2014, in terms of Regulations 14(2) of the SEBI Takeover Regulations. | |
