This is further to our letter dated 18th July, 2017 and 2nd August, 2017 on the above subject. In this connection we would like to inform you that the Company on 5th September, 2017 has transferred its entire stake held in DigiCall Teleservices Private Limited ('DTPL') to Karvy Data Management Services Limited (KDMSL) in terms of Share Purchase Agreement signed on 2nd August, 2017, after obtaining the shareholders' approval through postal ballot on 26th August, 2017. Pursuant to above (i) DTPL has ceased to be a wholly owned subsidiary of the Company w.e.f 6th September, 2017; and (ii) DigiCall Global Private Limited, a wholly owned subsidiary of DTPL and a step down subsidiary of the Company, has also ceased to be a subsidiary of the Company w.e.f. 6th September, 2017.
