NIIT Technologies Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on May 06, 2016, inter-alia, to transact the following businesses:<BR><BR>1. To consider and take on record the Audited Accounts and Financial Results for the year ended March 31, 2016;<BR><BR>2. To consider and recommend dividend for the year 2015-16, if any.<BR><BR>3. To fix the Record Date/Book closure dates to ascertain the members of the Company for the payment of Dividend, if any: for the year 2015-16;<BR><BR>4. To fix the date, time & venue for the Annual General Meeting of the Company.<BR><BR>Further, pursuant to the provisions of the Securities and Exchange Board of India prohibition of Insider Trading) Regulations, 2015 and the Code of Conduct for Prevention of Insider Trading, the Trading Window of the Company shall remain closed w.e.f. April 28, 2016 till May 08, 2016 (both days inclusive). The Trading window will be opened after 48 hours of making the price sensitive information public. Accordingly, Directors/Designated employees and any person who is connected or deemed to be connected directly or indirectly or through relative(s) are prohibited to deal in the securities of the Company during this period pursuant to the Company's Code of Conduct to regulate, monitor and report Trading by Insiders and Practices and Procedures for Fair Disclosures of Unpublished Price Sensitive Information.
