With reference to the Public Announcement (PA) dated May 06, 2015 and the detailed Public Statement (DPS) dated May 12, 2015 (Published on May 13, 2015) regarding open offer made by Suprajit Engineering Limited ("Acquirer") to the Shareholders of Phoenix Lamps Limited ("Target Company").<BR><BR>In compliance under Regulation 26(6) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, <BR>Phoenix Lamps Ltd has informed BSE that the Board of Directors of the Company at its meeting, held on May 14, 2015, has constituted a committee of Independent Directors, consisting of Mr. Padmanabh P Vora, Mr. Gurdeep Singh, and Ms. Sunita Mathur (Directors of the Company).
