| R Systems International Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on October 29, 2014, inter alia, to consider and approve the following:<br/><br/>1. The audited standalone financial results and the unaudited consolidated financial results of the Company for the quarter and nine months ended September 30, 2014.<br/><br/>2. The declaration of third interim dividend, if any, for the year 2014.<br/><br/>3. Remuneration of Mr. Satinder Singh Rekhi, Managing Director of the Company pursuant to the provisions of the Companies Act, 2013 for the period of three years i.e. April 01, 2014 till March 31, 2017.<br/><br/>4. Notice for passing of special resolution through Postal Ballot seeking approval of the shareholders pursuant to Section 110 of the Companies Act, 2013 for the approval of remuneration of Mr. Satinder Singh Rekhi as Managing Director of the Company.<br/><br/>Further, the trading window for dealing in the Equity Shares of the Company remains closed for the directors/officers/designated employees of the Company in accordance with "R Systems International Limited Code of Internal Procedures and Conduct for Prevention of Insider Trading" until 24 hours from the date of declaration of Financial Results for the quarter and nine months ended September 30, 2014. | |
