Sawaca Business Machines Ltd has informed BSE that the Board of Directors of the Company at its meeting held on May 30, 2015, inter alia, has transacted the following:<BR><BR>1. Pursuant to the provisions of Articles of Association, Mr. Shetal S. Shah has been appointed as a Managing Director of the Company w.e.f. April 01, 2015 for a period of 5 years, subject to approval of the members in forthcoming Annual General Meeting of the Company.<BR><BR>2. The Board of Directors took Note of General disclosure of Interest of Directors under Section 184(1) of Companies Act, 2013.<BR><BR>3. The Board of Director formulated and adopted Code for Fair Disclosure and Code of Conduct as per Regulation 8(1) of Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations, 2015.
