| Shalimar Productions Ltd has informed BSE that the Board of Directors of the Company at its meeting held on June 22, 2015, inter alia, has approved and considered the following -<BR><BR>1. Has decided to acquire forty nine percent stake in M/s. Big Idea Designs Limited, a UK based Company engaged in making English & Hollywood movies;<BR><BR>2. Have verified and taken on record the due diligence report performed on M/s. Big Idea Designs Limited;<BR><BR>3. Acquiring the existing shares from the shareholders of Big Ideas in exchange of which Equity Shares of our Company shall be allotted by way of Preferential Issue subject to the approval of Members by way of Special Resolution;<BR><BR>4. Authority to Board to act on the same and to appoint either a Merchant Banker or Chartered Accountancy Firm for the purpose of issuing Valuation Report and put up the matter for approval in the forthcoming General Meeting. | |
