| With reference to the earlier announcement dated October 31, 2014 whereby the Company have informed that, the Hon'ble High Court of Judicature at Bombay on October 31, 2014 has approved the Scheme of Amalgamation and Arrangement pursuant to Sections 391 to 394 read with Sections 78, 100 to 104 and other applicable provisions of the Companies Act, 1956 of Mahindra Engineering Services Limited ('MESL') with Tech Mahindra Limited ('TML' or 'the Company) and their respective Shareholders and Creditors which, inter alia, envisages amalgamation of MESL and transfer and vesting thereof into the Company and other consequential matters under the provisions of Sections 391 to 394 read with Sections 78, 100 to 104 of the Companies Act, 1956, Tech Mahindra Ltd has now informed BSE that the said Scheme has become effective from December 08, 2014 upon the filing of e-Form INC - 28 with the Registrar of Companies, Maharashtra - Ministry of Corporate Affairs. | |
