| We are enclosing herewith intimations received on 20th April, 2017 from Travel Corporation (India) Limited ('TCI') and SOTC Travel Services Private Limited (formerly known as Kuoni Travel (India) Private Limited) ('SOTC'), wholly owned subsidiaries of the Company, pertaining to approval granted by the National Company Law Tribunal (NCLT) for the Composite Scheme of Arrangement and Amalgamation between SOTC Travel Services Private Limited (earlier known as Kuoni Travel (India) Private Limited), Distant Frontiers Tours Private Limited, SITA Beach Resorts Private Limited, SITA Destination Management Private Limited, SITA Holidays (India) Private Limited, SITA Holidays Resorts Private Limited, SITA Incoming (India) Private Limited, SOTC Travel Private Limited (formerly known as SITA Travels Private Limited) and Travel Corporation (India) Limited. You may also note that the Companies have initiated the process for obtaining the written order of NCLT which is yet to be received. The Scheme would be effective from the date the Order is filed with the respective Registrar of Companies by them. This is for your information and record. | |
