BS LTD. - Outcome of Board Meeting

BS Ltd has informed BSE that the Board of Directors of the Company at its meeting held on August 12, 2015, inter alia, has:<BR><BR>1. Has not recommended any Interim Dividend on Equity Shares of the Company;<BR><BR>2. Appointed Mr. Kamesh Yalamarty as Managing Director and designated him as Key Managerial Personnel with immediate effect;<BR><BR>3. Increased the Authorised Share Capital of the Company from Rs. 77 Crores to Rs. 100 Crores and accordingly amended the relevant Clause(s) of the Memorandum of Association of the Company, subject to the approval of the Shareholders.<BR><BR>4. Appointed Mr. Y. Koteswara Rao, Practicing Company Secretary, as the Scrutinizer for monitoring the E-Voting and Poll Process at the AGM.
