| Pursuant to the Regulation 30 of the Securities and Exchange Board of India (LODR) Regulations, 2015 as amended, we would like to inform you that based on the recommendation of the Nomination and Remuneration Committee, the Board of Directors of the Company through circular resolutions have appointed Mr. Jagdish Chandra Toshniwal (DIN: 01539889) as an Additional Director in the category of Independent Director of the Company for a term of three years with effect from April 01, 2023 subject to approval of the members of the Company and other applicable approvals, if required. We confirm that Mr. Jagdish Chandra Toshniwal meets the criteria of independence as provided in Section 149(6) of the Act read with SEBI (LODR) Regulations, 2015 as amended. We further confirm that Mr. Jagdish Chandra Toshniwal is not related to any Director/Promoter/Key Managerial Personnel of the Company and is not debarred from holding the office of Director pursuant to order of any Regulatory Authority. | |
