Dear Sir/Madam,<BR> This is to inform you that the Board of Directors, based on recommendation of Nomination & Remuneration Committee, has appointed Mr. Amit Gupta (DIN: 07085538) as Additional Director (Non-Executive & Independent) on the Board of the Company with effect from November 11, 2020, subject to the approval of the Shareholders at General Meeting for a period of five years.<BR> <BR> Further, with reference to BSE circular no. LIST/COMP/14/2018-19 dated June 20, 2018 w.r.t. enforcement of SEBI Orders regarding appointment of Directors and based on declaration received from Mr. Amit Gupta, we hereby affirm that the he is not debarred from holding the office of director by virtue of any SEBI order or any other such authority.<BR> <BR> The brief profile of Mr. Amit Gupta is enclosed herewith as Annexure-A.<BR>
