the Board of Directors ('Board') of the Company, at its meeting held on December 31, 2020 has approved the Scheme of Amalgamation between Himshikhar Investment Limited (a wholly owned subsidiary of the Company) and Dalmia Bharat Sugar and Industries Limited and their respective shareholders and creditors under Sections 230 to 232 of the Companies Act, 2013 and all other applicable provisions of the Companies Act, 2013 ('Scheme' or 'the Scheme').
