| Dhani Services Ltdhas informed BSE that the meeting of the Board of Directors of the Company is scheduled on 06/03/2021 ,inter alia, to consider and approve Regulations, 2015, as amended, please note that a meeting of the board of directors of the Company<BR> (the 'Board') would be held on Saturday, March 6, 2021 to, amongst others, consider and approve the<BR> issuance of sponsored American Depositary Receipts ('ADRs') under a Level III program (not<BR> exceeding 15% of the existing share capital of the Company) pursuant to the transfer of underlying<BR> equity shares from eligible shareholders of the Company by way of a tender on the Indian exchanges<BR> for cash. Further, Board shall also consider and approve the issuance of, as required under relevant<BR> laws in connection with a Level III ADR program, equity shares for conversion into ADRs; and equity<BR> shares under a qualified institutions placement (not exceeding 15% of the post-issue share capital of<BR> the Company in aggregate). Each of these approvals from the Board shall be further subject to the<BR> approval of the members of the Company and other regulatory and/or statutory approvals, as<BR> applicable. | |
