| This is with reference to the captioned subject and on the basis of intimation received from Aakaaish Investments Private Limited (Transferee Company/Resulting Company) (one of the Promotor Group), received on 7th November, 2022, we wish to inform you that the Composite Scheme of Merger and Arrangement ('Scheme') consisting Demerger and Merger into/with Aakaaish Investments Private Limited (collectively referred to as 'Resulting Company' or 'Transferee Company') is approved by the National Company Law Tribunal, Ahmedabad Bench vide by an order dated 2nd November, 2022 (certified copy of said Order dated 4th November, 2022) in accordance with Sections 230 to 232 and other applicable provisions of the Companies Act, 2013. Please note that the aggregate holding of the Promoters and Promoter Group in the Company, either in number or percentage, before and after the Scheme, will remains the same i.e. 59.29%.
