| Pursuant to Reg 30(7) of SEBI LODR, further to our communication dated Feb 26, 2020, plS see enclosed a copy of the order dated Feb 26, 2020 and clarification dated Feb 28, 2020 alongwith order as per Form CAA 7 issued by the Hon''ble (NCLT), Chandigarh Bench on March 12, 2020 in respect of the scheme of amalgamation amongst GlaxoSmithKline Consumer Healthcare Limited and HUL and their respective shareholders and creditors under Section 230 to 232 of the Companies Act, 2013 ('Scheme'). <BR> In this regard, we wish to inform you that in accordance with the terms of the Scheme, a meeting of Board of Director of the Company is scheduled to be held on Wednesday, April 01, 2020, to take on record the sanction of the Scheme by Hon'ble NCLT Mumbai Bench and Chandigarh Bench and to declare the scheme effective. <BR> Further, it is to inform you that at this BM will consider the record date for the purpose of issuance of shares of HUL to the shareholders of the Company in accordance with the Scheme.<BR> | |
