With reference to the captioned subject, please find enclosed copy of Postal Ballot Notice dated November 4, 2020 along with explanatory statement and Postal Ballot Form in respect of seeking approval of Shareholders for (1) variation in the 'Greenply Employee Stock Option Plan 2020' ('ESOP 2020' / 'Plan') for the employees of the Company, (2) variation in the 'Greenply Employee Stock Option Plan 2020' for the employees of the subsidiary(ies) of the Company, (3) grant of options to the identified employees during any one year, equal to or exceeding 1% of the issued share capital of the Company under the 'Greenply Employee Stock Option Plan 2020' and (4) re-appointment of Mr. Rajesh Mittal [DIN: 00240900] as Chairman cum Managing Director of the Company, liable to retire by rotation.
