| In continuation of our efforts for Corporate simplification/restructuring, we wish to inform that IDFC Foundation has entered in to 'Share Purchase Agreement' for sale of entire equity stake of 50% in Delhi Integrated Multi-Modal Transit System Limited ('DIMITs') held by IDFC Foundation to Bharat Telematics Ltd. IDFC Foundation is a wholly owned subsidiary of IDFC Limited and is a 'Non for profit' organisation registered under section 8 of the Companies Act, 2013. The details as required under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No. CIR/CFD/CMD/4/2015 dated September 9, 2015, will be shared at the time of completion of the aforesaid transaction.
