| The approval of members of the Company is being sought for the following special resolutions, by way of Postal Ballot (only through the e-voting process): <BR> <BR> a) To approve Kaya Limited Employee Stock Option Plan 2021 ('Kaya ESOP Plan 2021') for Employees of the Company for issue of up to 6,53,204 options to employees of the Company.<BR> <BR> b) Extend the benefit of Kaya ESOP Plan 2021 and to grant the employee stock options to the employees of the present and future subsidiary company(ies) of the Company, whether incorporated in India or outside; and<BR> <BR> c) Grant of options under the aforesaid Kaya ESOP Plan 2021 to an identified employee exceeding 1% (one percent) of the issued capital of the Company at the time of grant.<BR> | |
