| This is to bring to your information and records that, upon recommendation by the Nomination & Remuneration Committee (NRC), the Board of Directors of the Company at their Meeting dated 06.05.2022 had among other things appointed the following persons as Directors: 1. Prof. (Dr).M K C Nair as a Non-Executive Independent Director for a period of five years with effect from 06.05.2022. 2. Mr. Sajiv K. Menon as a Non Executive Non Independent Director with effect from 06.05.2022. Further as spelt out in Circular no. List/Comp/14/2018-19/ dated 20th June 2018, it is hereby affirmed that both the Directors viz Prof.(Dr).M K C Nair and Mr. Sajiv K. Menon are not debarred from holding the office of Director by virtue of any order from SEBI or any other such Authority. The details required vide SEBI Circular No: CIR/CFD/CMD/4/2015 dated 9th September, 2015 pertaining to the appointment of Directors are given as enclosures to the letter. | |
