| We would like to inform you that Morton Foods Limited hereinafter referred to as 'MFL' (Formerly known as Allahabad Canning Limited') a material unlisted subsidiary of the Company in its Board Meeting held today has inter-alia considerd and approved the following: 1. Raising of capital by way of preferential allotment of equity shares to the extent of Rs. 22 crs by issuing 6470000 further equity shares of face value of Rs. 10 each at a premium of Rs. 24 each share subject to the approval of it's shareholders in general meeting. 2. Appointment of Mr Vikram Kumar Mishra (FCS:11269), Company Secretary of its Holding Company 'Palash Securities Limited' as the Company Secretary of Morton Foods Limited, a material unlisted subsidiary, under the provisions of the Companies Act, 2013 w.e.f 03rd February, 2023. 3. Re-appointment of Mr. Venugopal Chetlur (DIN: 08686707), as Whole-time Director of Morton Foods Limited, , for a period of three years w.e.f. 7th February, 2023. | |
