The Board of Directors of the Company has inter-alia: 1. considered and approved the Annual Audited Financial Statements of the Company (Standalone and Consolidated), for the Financial Year ended March 31, 2023 and Audited Financial Results (Standalone and Consolidated) for the quarter and Financial Year ended March 31, 2023. 2.Subject to approval of the members of the Company, considered and approved the alteration of the object clause of Memorandum of Association (MoA) of the Company 3. Took note of the resignation of Mr. Padmanabha Gopal Aiyar (DIN: 02722981) as a Non-Executive Independent Director of the Company 4. Took note of the resignation of Mr. Ramakrishnan Sankaranarayanan (DIN: 02696897) as a Non-Executive Director of the Company Further, the Board has decided not to recommend any dividend on the equity shares of the Company for the Financial Year ended March 31, 2023.
