Kindly be advised that to meet your stipulation to bring down the Promoters' Post Diluted Shareholdings to a level below 75%, for obtaining your No Objection, in the matter of an Application submitted under Regulation 37 of the SEBI (LODR), Regulations, 2015 for the proposed Scheme of Amalgamation between BMG Enterprises Limited (Transferor Company) and Rossell India Limited (Transferee Company) and their respective shareholders under sections 230-232 of the Companies Act, 2013, the Promoters Group have offloaded the following Equity Shares on 17th November, 2022 and 18th November, 2022 on the floor of the Stock Exchanges after obtaining the due clearance under ROSSELL INSIDER CODE, a Code of conduct for Prohibition of Insider Trading framed under SEBI (PIT) Regulations, 2015. Accordingly, in terms of the provisions of Regulations 7 (2) of the SEBI (PIT) Regulations, 2015, the disclosure received is enclosed in respect of the aforesaid sale/disposal of Equity Shares
