| Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, this is to inform that Mr. Kailash Chandra Sharma (DIN: 00339013) - Non-Executive, Independent Director of M/s. Sai Capital Limited (hereinafter referred to as 'the Company'), has been appointed as a Non-Executive, Independent Director of M/s. Unisphere Industries Private Limited (Unlisted Step Down Subsidiary of the Company) consequent to the resignation of Mrs. Kamlesh Gupta (DIN: 07243898) as Non-Executive Director of the Step Down Subsidiary of the Company, M/s. Unisphere Industries Private Limited due to pre-occupation and other personal reasons with effect from February 21, 2023. It is further stated that being a Non-Executive Director, the resignation of Mrs. Kamlesh Gupta will have no impact on the day to day functioning of the Step Down Subsidiary Company.
