| We wish to inform you that, pursuant to the In-principle approval received from BSE Limited and National Stock Exchange of India Limited vide letters no. DCS/PREF/PB/PRE/1083/2020-21 dated 12.03.2021 and NSE/LIST/26071 dated 12.03.2021 respectively, Board at its meeting held today March 17, 2021 has issued and allotted 45,00,000 (Forty-Five Lakhs) convertible warrants at a price of Rs. 100/- (Rupees One Hundred Only) per warrant to Mr. Suresh Venkatachari, Promoter & CEO entitling him for the subscription of equivalent number of equity shares of face value of Rs. 5/- (Rupees Five only) each fully paid-up at an issue price of Rs. 100/- (Rupees One Hundred Only) each (out of which Rs. 95/- (Rupees Ninety-Five only) share towards premium).<BR> The Company has received the upfront payment of 25% i.e., Rs. 11,25,00,000/- (Rupees Eleven Crores Twenty-Five Lakhs Only) of the total consideration as per the terms of preferential issue. | |
