| With reference to our earlier intimation dated 24 May, 2022, wherein we had informed that the Board of Directors approved the Scheme of Arrangement among Harita Fehrer Limited ('Transferor Company'), Minda Storage Batteries Private Limited ('Demerged Company'), both Wholly Owned Subsidiaries of the Company with Uno Minda Limited (formerly known as Minda Industries Limited) ('Transferee Company') and their respective Shareholders and Creditors, under Section 230-232 and other relevant provisions of the Companies Act, 2013 read with the rules made thereunder, subject to the requisite statutory and regulatory approvals. Pursuant to Regulation 37(6) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Notification No. SEBI/LAD/NRO/GN/2016-17/029 dated February 15, 2017 and in term of SEBI Circular No. CFD/DIL3/CIR/2017/21 dated 10 March, 2017, we are pleased to enclose herewith a copy of the aforesaid Scheme of Arrangement. | |
