Bio Green Papers Ltd - Announcement under Regulation 30 (LODR)-Allotment

Pursuant to the Resolution Plan approved by the Hon''ble NCLT vide order dated 28.05.2024, the Board of Directors of the Company at their meeting held on 22.06.2024, considered and interalia along with other items approved the following allotments on preferential basis: 1. Allotment of 50,00,000 equity shares of INR 10/- each to the Resolution Applicant against a Consideration of INR 5,00,00,000/- infused by the RA pursuant to the resolution plan. 2. Approved the allotment of 9,60,00,000 equity shares of the Company to the shareholders of String Metaverse Limited (Transferor Company) pursuant to the merger of String Metaverse Limited into Bio Green Papers Limited (Transferee Company) in the ratio of 6:10 such that 6 equity shares of the Company shall be issued to the Shareholders of String metaverse Limited for every 10 equity shares held by them in the Transferor Company. The Scheme of Arrangement is approved along with the Resolution Plan vide NCLT Order dated 28.05.2024.
