ENGINEERS INDIA LTD. - Outcome of Board Meeting

Engineers India Ltd has informed BSE that the Board of Directors of the Company at its meeting held on May 27, 2015, <BR>has approved the following which are material related party Transactions under ordinary course of business and on arms length basis:<BR><BR>- Entering into a transaction with Ramegundam Fertilizers and Chemicals Limited (RFCL) for EPCM services at a lump sun, price of Rs. 190/- core plus service tax, incentive and additional charge on man day rate basis for visit to vendor office, in terms of Letter of award dated March 31, 2015 read with clarification letter dated April 15, 2015, issued by RFCL.<BR><BR>- Entering into an arrangement with RFCL in respect of rendering of services towards selection of technology licensor on cost reimbursable basis.<BR><BR>Further, it has also been approved by the Board that the above said transactions shall be put up in the General Meeting of the shareholders for their post-facto approval by passing a special resolution as per the statutory requirement in this regard.
