Fermenta Biotech Ltd - Intimation Of The Allotment Of 1,50,75,318 Equity Shares

This is further to our communication dated May 24, 2023 regarding the Composite Scheme of Amalgamation and Arrangement amongst DVK Investments Private Limited ('Transferor Company 1') and Aegean Properties Limited ('Transferor Company 2') and Fermenta Biotech Limited ('Transferee Company') and their respective Shareholders under sections 230 to 232 of the Companies Act, 2013, sanctioned by the Hon''ble National Company Law Tribunal, Mumbai Bench ('Tribunal') without any modification vide its order dated May 08, 2023 ('Order') and intimation for Record Date of June 02, 2023. Accordingly, pursuant to the aforesaid Scheme, the Committee of Independent Directors of the Company, on June 3, 2023, has allotted 1,50,75,318 equity shares ('New Equity Shares') of the face value of Rs. 5/- (Rupees Five only) each, fully paid-up, to the members of DVK Investments Private Limited, recognized as on the Record Date of June 02, 2023, as per the share exchange ratio in terms of the Scheme.
