HERO MOTOCORP LTD. - Clarification with respect to the press release concerning the execution of a Settlement Agreement by HMCL (NA), Inc. and HMCL Americas, Inc.

As a follow-up to the press release titled "HMCL Americas, Inc. Enters Into "Settlement Agreement" to Acquire EBR's Consulting Business", which was informed to the stock exchange on July 28, 2015, Hero MotoCorp Ltd has Clarified to BSE that the Receiver has informed that the motion seeking inter alia approval of the Settlement Agreement could not be filed with the Circuit Court on July 27, 2015 (as per USA timing). Accordingly, the Company has slightly revised the press release to reflect the above factual position and also certain minor non-substantive edits.
