Manoj Ceramic Ltd - Declaration Regarding Non-Applicability Of Regulation 23 (9) Of SEBI (Listing Obligations And Disclosure Requirements) Regulations, 2015

This is in reference to Regulation 23 (9) of SEBI (Listing Obligations and Disclosures Requirement) Regulations 2015, which requires every listed entity to submit to the Stock Exchanges "Disclosures of Related Party Transactions" . However, as per Regulation 15 (2) of SEBI (LODR) Regulations, 2015, the Compliance with the Corporate Governance provisions are not applicable to the listed entity which has listed its specified securities on the SME Exchange. In reference to the above, we hereby declare and confirm that the Company falls under the ambit of aforesaid exemption and therefore it is not required to submit to the Stock Exchange Disclosure on Related Party Transactions under regulation 23(9) of SEBI (LODR) Regulations, 2015 for the half Year and Financial Year Ended 31 March 2024
