This is to inform that the Board of Directors of the Company, vide a resolution passed through circulation on October 28, 2020 has considered and approved the transfer by way of sale, 29,56,879 (19.88%) Equity Shares held by the Company in Xlerate Driveline India Limited (XDIL), a Company within the Group out of its total holding of 66,63,038 (44.79%) Equity Shares in Xlerate Driveline India Limited (XDIL) to Mr. Sachit Kanwar, Executive Director - Operations of the Company for a total consideration of Rs. 1,44,00,000/- (Rupees One Crore Forty Four Lakhs Only) i.e. Rs. 4.87 per Equity Share.<BR> <BR> By virtue of the above, the Company now holds 37,06,159 (24.91%) Equity Shares in Xlerate Driveline India Limited (XDIL), a Company within the Group.<BR> <BR> You are requested to kindly take the same on records.<BR>
