RICO AUTO INDUSTRIES LTD. - Scheme Of Amalgamation

This is further to the various disclosures made by the Company on the captioned subject. We wish to inform you that: a) The Scheme of Amalgamation for merger of Wholly Owned Subsidiary Companies namely (a) Rasa Autocom Limited (RASA); (b) Rico Aluminium and Ferrous Auto Components Limited (RAFA); and (c) Rico Investments Limited (RIL) with Rico Auto Industries Limited was approved by the Hon'ble National Company Law Tribunal, Chandigarh Bench, ('NCLT - Chandigarh') and formal order filed with ROC on 29th April, 2023. (Copy of order enclosed as Annexure-A) b) The Scheme of Amalgamation for merger of Rico Castings Limited with our Step-down Subsidiary Company Rico Jinfei Wheels Limited was approved by the Hon'ble National Company Law Tribunal, Chandigarh Bench, ('NCLT - Chandigarh') and formal order filed with ROC on 10th March, 2023. (Copy of order enclosed as Annexure-B) c) Accordingly, the Schemes have become effective. d) Appointed date of the Scheme is 1st April, 2021.
